Details Fellow members, National Lampoon has so kindly told me to go fuck myself by flat out refusing to pay me for the website. Here is a chronology of the events:  January 2008, AllModelZone.com offered for sale to a GOOD buyer. It was agreed AMZ would only be sold to a buyer who could take the site to higher levels and grow. An owner who would have a purpose and use for the site. Some potential buyers that were refused, was the creator of MySpace, Brad Greenspan. Price was right, wrong reasons to acquire it. In total, 31 potential buyers we're declined. The 32nd being National Lampoon, Inc. Through much of June and July 2008, agreement amendments. We spent many many times on the phone discussing details of acquiring the site. Things such as How it is run, it's purpose, what needs to be done, what can National Lampoon do, What they NEED to do, etc. At this time, National Lampoon was under suspicion by the AMEX for not being in compliance and the possibility of being DE-LISTED from the exchange unless they returned to compliance, as this was PUBLIC INFORMATION and they assured me they were going to be back in compliance before the SEC's deadline.. A clause was added to the contract as a safeguard: *1.04 Purchase Price. The total purchase price for the Assets (the "Purchase Price") shall be xxx xxx dollars ($xxx,xxx), to be paid in common stock of National Lampoon, Inc (AMEX: NLN), shares to be priced at the 5 day average closing price of stock immediately prior to day of closing. The stock certificate will be issued within 30 days of closing and will be subject to sale under SEC rule 144, which requires a six (6) month holding period for stock issued as part of an acquisition. **(a) Delisting Buyback If, at any time within twelve (12) months of closing, National Lampoon, Inc.'s stock ceases to trade on a national stock exchange, Purchaser will buy back all stock that has been issued up to that time at a price of two dollars ($2.00) per share and make any future payments in cash. For clarity, this clause will not take effect if National Lampoon, Inc. switches stock exchanges, only if the company is delisted and ceases to trade on any national stock exchange. ***1.05 Performance Bonus. As additional consideration for the Assets, Purchaser shall pay and deliver to Seller the following items: 1) Within ten (10) days following the end of each month for six (6) months following closing, Purchaser shall remit to Seller payment in the amount equal to that month's subscription newewal ("rebilling") revenues up to xxx xxx, xxx xxx dollars ($xxx,xxx). 2) Stock payments (the "Bonus Payments"), equal to xxx xxx, xxx xxx dollars ($xxx,xxx), payable in stock in each calendar month for up to six (6) months after closing that monthly subscription revenues exceed the previous month's subscription revenues by two percent (2%) or more. To be issued within twenty (20) days following the end of any month in which it is earned for up to six months. Stock to be priced and subject to all terms outlined in section 1.04. The beginning base monthly revenue to be used in bonus calculations shall be the gross revenue earned/collected in the last complete calendar month prior to execution of this agreement. IT WAS STRESSED, They needed to have current RE-BILLINGS transferred to NATIONAL LAMPOON's MERCHANT ACCOUNT, and NOT have it continue through Alle Von Techonologies accounts. This was stressed it needed to be complete BY September 1st, 2008.  August 5, 2008 Agreement signed. IT WAS STRESSED AGAIN, They needed to have current RE-BILLINGS transferred to NATIONAL LAMPOON's MERCHANT ACCOUNT, and NOT have it continue through Alle Von Techonologies accounts. This was stressed it needed to be complete BY September 1st, 2008. August 18, 2008 Press Announcement A release was sent out regarding the sale of the site, met with MUCH praise by members and acknowledgements from shareholders and financial analysts. September 1, 2008 Site Transferred To National Lampoon With little fanfare, the site was transferred. October 5, 2008 I Return from China Business Trip Lo and Behold, Im devastated in 2 ways. 1) I arrived home with a severe stomach infection that had me bent in half for 4 days. 2) My bank account was nearly NEGATIVE $6,000!!! This was due to the month long riots that occured on AMZ created by National Lampoon's handling of the website and hundred's of customers issuing chargebacks. I then spent the next 3 weeks attempting to get DAN LAIKIN ON THE PHONE. October 22, 2008 Site Anniversary and CEO Asks me to take over operations With an announcement that I would be back running the show, I accepted to help re-stabilize the website with the only request being that they TRANSFER THE RE-BILLING TO THEIR ACCOUNT AND PAY ME BACK FOR THE LOST MONEY as Sept. 1, 2008 it was THEIR REVENUE being put into MY NEGATIVE ACCOUNT. I was assured IT WOULD BE DONE. November 21, 2008 Asked to come to NL HQ and set staff straight. I was told I would be flown out there, bags are packed and I travel to airport only to find NO TICKET WAS BOUGHT. Wow, that is cold. I had cancelled appointments, plans, etc. and then nothing. December 15, 2008 Dan Laikin, CEO Arrested for Stock Fraud and Manipulation AMEX Trading is suspended for 10 days and Dan is charged by the SEC, FBI and Justice Dept. Basically, he is screwed and well deserved. However, I am in contact with Cora and assured this will not affect AMZ being run. Ok. January 3, 2009, Stock is De-Listed, Tim Durham made CEO I contact him, to no avail. Told, he needs adjustment time, 1-2 weeks go by, still nothing. February 1099-MISC Fraudulent Tax form RECEIVED. I recieved a tax form showing I receieved payment for the website even though I never receieved a PENNY! This leaves me vunerable to having to pay $15,000 US DOLLARS IN TAXES I NEVER GOT! The IRS has been notified and is now investigating. February 2009 Invoice sent Based on clause 1.04 A specifying, payment is due in cash as their stock is worth as much as a roll of toilet paper. Was called by Tim Durham and ASKED ABOUT THE SITE. What a moron! He owns it, however, has no idea about it. Granted I talk with him for 3 hours about it, and ask where is my money. Im assured, he wanted me to speak with HIS I.T. guy. Great, I did, and time goes on. I call and call and call, only to be sent this: sorry been so hard to reach. as you may guess their are alot of issues I am dealing with regarding lampoon. my initial perception is that this site will only ever be marginally profitable. in studying other sites there are very few that make any money at all and only there very large sites such as you tube , myspace etc.all the money gravitates there. maybe it could make it on a subscription basis. but that is a long shot too.we certainly dont have the resources to service this site especially for the minimal returns. as far as your deal I have asked my attorney to look over your contract and see where we stand.we will get back to you on our position as soon as possible. in the mean time if you desire to keep the site alive, we could probably work out something to transition it back to you. otherwise I will most likely suspend the site this next week. let me know your thoughts. tsd Wow YouTube and MySpace MADE MONEY?? Holy Crap Batman THAT IS NEWS TO ME! Last I heard, MySpaz was the biggest EGG for Rupert Murdoch as the site never has, nor EVER WILL BE worth $30 MILLION DOLLARS. Talk about egg on your face. YouTube, as well. But Tim is such an EINSTEIN, he has the answer! This dickweed should have thought about all this BEFORE HE BOUGHT THE SITE AND ALLOWED THE CONTRACT TO BE SIGNED. However, this brilliant rocket scientist doesn't seem to acknowledge that THEY BROKE EVERY SINGLE CLAUSE OF THEIR CONTRACT FROM DAY ONE! And I broke NONE. Which included me KEEPING MY MOUTH SHUT FOR 6 MONTHS. So essentially, what Tim Durham and Dan Laikin have done is, They told me, "Hi, we want to buy your CAR but we will ONLY pay you in 6 months for it, they then drive it into a TREE, and then say, "no we're sorry we aren't going to pay you for it, here is your car back." WTF? In the meantime, the debt that has mounted has been insurmountable, as every customer who ever DOWNGRADE ONLY HURT ME, not National Lampoon. Legal action is now being conducted as my name, my company have been SEVERELY defamed, ALL of my business driven COMPLETELY into the dirt, my reputation SEVERELY tarnished as I had to keep my mouth SHUT for 6 MONTHS and in the end, left with dirt on my face for trying to being honest, fair and sell part of my business. For those of you who hate me for being a Republican, or not voting for THEIR candidate (Including the Irish douchebag who is OUTSIDE of the US and has no part of MY COUNTRY), or being a human with emotions like them, etc. fine, have your laugh. It was my only intention to do what was BEST for the WHOLE of the website and community. Some sacrafices had to be made, and as usual, I get totally shit on. I have been hearing echos of the past from an old video boxing game in arcades with the phrase "BODY BLOW, BODY BLOW, UPPER CUT, UPPER CUT" while Tim Durham and Dan Laikin have essentially Kicked me in the nuts, punched me in the mouth, spun me around, and kicked my ass out the door. I did the work they asked me to do for 6 months FOR FREE, I performed PR work for them for UNPAID through all the bad months, I helped many of you as best as I could, however, THIS is the thanks I get. I now have to commence LEGAL actions, thankfully, with an army of lawyers that have offered to help on CONTINGENCY and one of them is a celebrities' lawyer. So there you have it all. MY SIDE that I could NOTtell because of the contract. NOW PASS JUDGEMENT ON ME but better yet, ON THEM:  |
